These Terms of Service ("Terms") constitute a legally binding agreement between you and DealerStack Inc. ("DealerStack", "we", "us") governing your access to and use of the DealerStack platform at autodealerstack.com and any related services (collectively, the "Service").
By registering an account, you confirm that you are authorized to act on behalf of your dealership and that your dealership agrees to these Terms.
DealerStack provides dealership management tools including:
Market conditions change rapidly. Prices shown may not reflect the current retail or wholesale market at the time of any specific transaction. DealerStack makes no warranty that pricing data is accurate, complete, or suitable for any particular purpose.
Wholesale values displayed are approximations derived from retail asking prices adjusted by a discount factor. They are not based on actual auction transaction data. Dealers must independently verify values before making offers to customers.
You acknowledge that any offer made to a customer based on DealerStack pricing data is your dealership's offer, not DealerStack's, and that your dealership bears full responsibility for all purchase and sale transactions.
DealerStack uses artificial intelligence to generate trade-in appraisal summaries, BUY/WATCH/PASS verdicts, and pricing commentary. These outputs are generated automatically and are:

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at shahroze@autodealerstack.com if you suspect unauthorized access.
Each account is associated with a single dealership. You may add multiple users under your dealership account. You are responsible for ensuring all users under your account comply with these Terms.
You retain ownership of all inventory data, customer records, and other content you upload or create within the platform ("Your Content"). By using the Service, you grant DealerStack a limited licence to store, process, and display Your Content solely for the purpose of providing the Service to you.
We do not claim ownership of Your Content and will not use it for any purpose beyond operating the platform.
The DealerStack platform, including its software, design, pricing logic, AI prompts, and all related intellectual property, is owned by DealerStack Inc. and protected by applicable intellectual property laws. You may not copy, reproduce, or redistribute any part of the platform without our written permission.
The Service relies on third-party APIs and infrastructure providers to operate. DealerStack is not responsible for the availability, accuracy, or terms of these third-party services. Your use of features that depend on third-party services is subject to those services' own terms and conditions.
The Service is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy of data, or non-infringement. DealerStack does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
You agree to indemnify, defend, and hold harmless DealerStack Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of: (a) your use of the Service; (b) any offer, sale, or transaction you conduct with a customer based on DealerStack data; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party right.
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any conduct we reasonably believe is harmful to the platform, other users, or third parties. You may cancel your account at any time by contacting us.
Upon termination, your right to access the Service ceases. We will retain your data for 30 days after termination, after which it may be permanently deleted.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
We may update these Terms from time to time. We will notify registered users by email of material changes. Continued use of the Service after the updated Terms take effect constitutes your acceptance of the new Terms.
